1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the platform, website, and services provided by Scalekit Studio Technologies Private Limited ("Scalekit Studio", "we", "us", or "our"), incorporated in India.

By accessing our platform or signing up for early access, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Service

Scalekit Studio provides an AI-assisted operating platform that routes business tasks through a combination of AI agents and domain experts to deliver completed work. The platform covers categories including but not limited to: customer support, internal workflows, reporting, engineering, design, compliance, operations, and research.

Specific capabilities, pricing, and SLAs are defined in your service agreement or order form. During the early access period, service scope may evolve as the platform develops.

3. Account and Access

• Access to the platform is by invitation during the early access period.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us immediately at hello@scalekit.studio if you suspect unauthorised access.
• You may not share access credentials with persons outside your organisation without our written consent.

4. Acceptable Use

You agree not to use the platform to:

• Submit tasks that are illegal, harmful, fraudulent, or infringe on the rights of any third party.
• Attempt to reverse engineer, decompile, or extract source code from the platform.
• Introduce malware, spam, or automated scripts not authorised by us.
• Resell or sublicense access to the platform without prior written agreement.
• Use the platform in any way that could damage, disable, or impair its operation.

5. Your Data and Content

You retain ownership of all data, content, and materials you submit to the platform ("Customer Data"). You grant us a limited, non-exclusive licence to process Customer Data solely for the purpose of providing the services you have requested.

You represent that you have the right to submit all Customer Data and that doing so does not violate any third-party rights or applicable law.

6. Intellectual Property

All intellectual property in the platform, including software, design, processes, and documentation, is owned by Scalekit Studio or its licensors. Nothing in these Terms transfers any ownership of our IP to you.

Work product delivered to you as output of completed tasks is owned by you upon delivery, subject to full payment of applicable fees.

7. Payment Terms

Pricing is based on work delivered, not seats or idle time. Specific rates and billing cycles are defined in your service agreement. All fees are exclusive of applicable taxes.

During the early access period, pricing may be offered at preferential rates locked for founding partners. We will provide 30 days' written notice before making any changes to your pricing.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Scalekit Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.

Our total cumulative liability for any claims under these Terms shall not exceed the fees paid by you in the 3 months preceding the claim.

10. Disclaimers

The platform is provided "as is" during the early access period. We make no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted availability. AI-generated outputs may contain errors and should be reviewed before use in high-stakes decisions.

11. Termination

Either party may terminate the service agreement with 30 days' written notice. We may terminate or suspend access immediately if you breach these Terms or engage in activity that poses a risk to the platform or other users.

On termination, you will retain access to your Customer Data for 30 days during which you may export it. After that period, data will be deleted in accordance with our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam, India.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes with at least 14 days' notice by email or platform notice. Continued use after the effective date constitutes acceptance of the updated Terms.
